Lisa’s practice involves counseling and advising clients with respect to all aspects of business relationships and questions. Her experience is extensive in entity organization, structure and governance, buy sell agreements, business succession planning, mergers and acquisitions, financing, real estate acquisition, sales and development, leasing, licensing, employment issues, franchise regulation and registration, reorganization and restructure, venture capital and mezzanine financing and contracts. She is experienced in preparation of certain SEC filings, Hart Scott Rodino filings, and other compliance rules and regulations.

Lisa represents large public and private companies and small businesses, providing practical and affordable counsel regarding business development and strategy that is tailored to meet individual needs. Lisa has represented clients in many diverse transactions including large public debt offerings, sales of real estate to and financing by REIT’s, automobile dealership acquisitions, radio television station sales and acquisitions, multiple point retail acquisitions, shopping center sales, hotel acquisitions and financing, restaurant purchasing and operations, and development company restructures. Lisa also represents commercial lenders and mezzanine and venture capital funds.

Prior to joining Thomas & Libowitz, P.A. Lisa’s background was in education. She worked for the University of Maryland, Baltimore County as the Coordinator of Housing managing all aspects of housing operations, supervising of staff, researching legal issues, revising contracts, billing and auditing billing reports, processing applications and deposits, and preparing annual revenue predictions and creating marketing publications, as well as managing all aspects of living communities and teaching student success seminars.
