|  | Ms. Olivieri's practice involves counseling and advising clients with respect to all aspects of business relationships and questions, including entity organization, structure and governance, buy sell agreements, business succession and planning, mergers and acquisitions, financing, real estate purchasing, sales and development, leasing, franchise regulation and registration, reorganization and restructure, venture capital and mezzanine financing and contracts. Ms. Olivieri also provides counsel with respect to compliance with privacy rules and regulations to health care providers, creditors and financial institutions. She conducts training seminars and presentations on HIPAA compliance, and is experienced in preparation of SEC filings, Hart Scott Rodino filings and other compliance rules and regulations.
Ms. Olivieri represents large and small businesses, providing practical and affordable counsel regarding their business development and strategy that is tailored to meet individual needs. Ms. Olivieri has represented clients in many diverse transactions including large public debt offerings, sales of real estate to and financing by REIT's, automobile dealership acquisitions, radio station sales and television station sales and acquisitions, multiple point retail acquisitions, shopping center sales and acquisitions, and company restructures.

|  | Ms. Olivieri is a member of the Maryland State Bar Association where she services as the Secretary of the Franchise and Distribution Committee and is a member of the Business Law Section and the Real Property Section. She also is a member of the Business Law Section and the Forum on Franchising of the American Bar Association.
Prior to joining Thomas & Libowitz, P.A. Ms. Olivieri's background was in education. She worked for the University of Maryland, Baltimore County as the Coordinator of Housing managing all aspects of housing operations including supervision of staff, researching legal issues, revising annual housing contract, billing and auditing billing reports, processing applications and deposits, and preparing annual revenue predictions and creating marketing publications, as well as managing all aspects of residential living communities and teaching student success seminars.
